This End-User License Agreement (the “Agreement”) is entered into between Metrica Software (the “Licensor”) and the object or individual identified in the applicable subscription order (the “Licensee”) that subscribes to or uses Power BI Connector for HubSpot (the “Software”).
1. Grant of License #
Subject to the terms of this Agreement and timely payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software solely for Licensee’s internal business purposes during the subscription term.
2. Restrictions #
Licensee shall not: (a) copy, modify, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble the Software, except as expressly permitted by law; (c) sell, resell, rent, lease, sublicense, distribute, or transfer the Software to any third party; (d) use the Software to build a competing product or service; (e) remove or alter any proprietary notices.
3. Intellectual Property #
The Software, including all updates, enhancements, and derivative works, is and shall remain the exclusive property of Licensor. No rights are granted to Licensee other than as expressly set forth in this Agreement.
4. Data Handling #
Licensor processes Licensee data in accordance with the Data Security and Privacy Statement.
5. Warranty Disclaimer #
The Software is provided “AS IS” without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, except as may be required by applicable law.
6. Limitation of Liability #
To the maximum extent permitted by applicable law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from or related to use of the Software.
7. Term and Termination #
This Agreement is effective as of the Licensee’s acceptance and remains in force for the duration of the subscription term, unless terminated earlier in accordance with its terms. On termination, Licensee’s right to use the Software ends and Licensee must cease all use.
8. Governing Law #
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the applicable order documentation, without regard to its conflict of laws principles.
